The transaction

What happened

The January perimeter envisaged combining fuel retail and mobility in RetailCo, with refining, petrochemicals and related supply activities in IndustrialCo. Balanced joint control was contemplated for RetailCo; Galp expected a minority exceeding 20% in IndustrialCo.

On 13 July Galp moved the potential signing target to the second half of 2026. Moeve's 31 July results explicitly retained the non-binding qualification. Final agreements, corporate approvals and applicable regulatory authorisations remained conditions in that latest verified primary update.

What to watch

A definitive signed agreement, final ownership terms and the required regulatory approvals.
