The transaction

What happened

The buyer confirmed completion on 23 March 2026. Secil reported 2025 revenue of €751m and EBITDA of €195m; the acquisition adds operations in Portugal and Brazil to Molins.

Semapa subsequently disclosed €1.081bn in cash consideration. That is separate from the announced €1.4bn enterprise value. Semapa retained its 51% interest in Société des Ciments de Gabès, so that holding should not be counted as transferred.
