The transaction

What happened

Both the buyer's release and Kaia's own announcement confirm the acquisition on 28 January. Kaia's presence in Germany's digital-health reimbursement pathway adds a market-access dimension.

The releases describe a transition of Kaia's US musculoskeletal offering to Sword's platform and further European expansion as subsequent integration plans. US$285m is the disclosed deal value, rather than a valuation of Sword or a new financing round.
